Enterprise Master Service Description

This Enterprise Services Description sets out the standard enterprise services that MyQuarters Inc. (“Quarters”) may provide to a client (“Client”) under an applicable Order Form that incorporates the Enterprise Master Terms and Conditions (the “Master Terms”).

Capitalized terms used here have the meanings given in the Master Terms or in the applicable Order Form. This document describes the Services at a product level - the specific Services and commercial terms for a particular Client are as set out in the relevant Order Form.

 

  1. Scope of Services

1.1 The Enterprise Services may include one or more of the following components, as specified in the applicable Order Form:

a) Merchant analytics dashboard.

b) Benchmarking and segmentation.

c) Rewards and activation services.

d) Referral links and program tooling.

e) Optional modules such as custom reporting or pilots.

1.2 Unless otherwise stated in an Order Form, the Enterprise Services are provided:

a) in a multi-tenant, hosted environment operated by Quarters, and

b) on a self-serve basis via web browser access to the enterprise portal and dashboard.

1.3 The Enterprise Services are based on Quarters Data and Analytics, as described in the Master Terms. Client receives access only to aggregated, non-identified outputs, not to raw bank transactions or Personal Information about Quarters Users.

  1. Merchant analytics dashboard (Insight Services)

2.1 Core dashboard. Where included in an Order Form, the merchant analytics dashboard provides the Client with a view of aggregated spending by Quarters Users at the Client’s brand, including, as made available by Quarters from time to time:

a) total spend by Quarters Users at the Client brand over a selected period,

b) number of transactions and number of unique Quarters Users who spent with the Client,

c) average transaction value and typical spend bands,

d) visit frequency and recency bands (for example one-time, occasional, regular),

e) trend views over time (for example week-over-week, month-over-month), and

f) other similar key performance indicators that Quarters may add to the dashboard.

2.2 Segmentation views. The dashboard may present Quarters Users in aggregated cohorts such as:

a) “new”, “active”, “lapsed”, or “at risk” spenders,

b) high, medium, and lower value spender bands,

c) frequency or recency tiers,

d) other segments defined by Quarters as part of the product, or defined for specific campaigns.

2.3 Data refresh. Unless otherwise stated in an Order Form:

a) dashboard metrics are refreshed on a regular batch basis (for example daily or near-daily),

b) timing and frequency of refresh are subject to the availability and performance of third party data sources such as financial data aggregators and financial institutions, and

c) metrics may reflect a short reporting lag between the time a transaction occurs and the time it appears in aggregated form.

2.4 Data scope. The dashboard reflects only:

a) transactions by Quarters Users who have connected their bank accounts or other supported data sources, and

b) transactions that are successfully recognized and mapped to the Client’s brand according to Quarters’ merchant-mapping logic.

Quarters is not responsible for gaps caused by unrecognized merchant descriptors, offline payments, or activity outside the supported data sources.

2.5 Access and export. Where technically available, Client may:

a) view dashboards via a web interface,

b) filter or adjust time periods or segments, and

c) export certain views in formats made available by Quarters, such as CSV or PDF, for internal reporting.

Any export remains subject to the use restrictions in the Master Terms.

  1. Benchmarking and segmentation services

3.1 Category and network benchmarks. Where included in an Order Form, Quarters may provide comparative views that show how the Client’s performance compares to:

a) category peers (for example “quick-service restaurant”, “fitness”, “delivery subscription”), and

b) the broader Quarters network, across metrics such as share of wallet, visit frequency, and category mix.

3.2 Category and segment definitions. Quarters defines categories, subcategories, and cohort logic at the platform level, including:

a) which merchants fall into a given category,

b) which spend types are grouped for “share of wallet” views, and

c) how “high value”, “new”, or “at risk” segments are constructed.

These definitions may evolve over time as the product and data set grow. Quarters may update category and segment definitions without notice, provided such changes are applied consistently across the network.

3.3 Non-identified comparisons. Benchmarking outputs are strictly aggregated and non-identified. Client does not receive:

a) the identity of any other merchant or client underlying a benchmark, unless explicitly stated (for example “category average” or “top quartile”), or

b) any information that would reasonably allow Client to re-identify individuals in another merchant’s customer base.

  1. Rewards and activation services

4.1 Rewards functionality. Where included in an Order Form, Quarters makes available functionality that allows rewards to be earned by Quarters Users when they spend at the Client’s brand or complete specified actions. Standard earn rates are set and funded by Quarters, and any Client-funded or co-funded campaigns are only provided where expressly agreed in an Order Form or separate written addendum.

4.2 Campaign types. Rewards and activation campaigns may include, for example:

a) ongoing earn rates (for example “earn X Points per dollar at Client”),

b) time-bound promotions (for example “bonus Points for a defined period”),

c) targeted offers to specific segments of Quarters Users (for example “lapsed high-value users”), and

d) sign-up or referral bonuses tied to Client-branded acquisition flows.

4.3 Funding structure. The structure for funding rewards is set out in the applicable Order Form and may include:

a) Quarters funding 100 percent of standard earn rates from its own sources, with Client paying only the agreed platform and service fees,

b) Client funding 100 percent of the reward value for specific campaigns it requests, billed in arrears based on actual reward earn or redemption,

c) Client prepaying a rewards pool that Quarters draws down as rewards are earned, or

d) mixed or co-funded models where Quarters contributes base rewards and Client funds incremental “booster” offers pursuant to a separate written addendum.

4.4 Control over rewards to Quarters Users. All rewards, credits, or Points awarded to Quarters Users:

a) are governed by Quarters’ consumer Terms of Use and related user-facing legal documents, and

b) are created, managed, and delivered within the Quarters platform under Quarters’ control.

Quarters retains discretion, acting reasonably and in accordance with its consumer Terms, over whether, when, and how any reward funded under an enterprise arrangement is delivered to individual Quarters Users, including whether a benefit is applied as a lump sum or over time and to which eligible housing-related uses.

4.5 Reporting on campaigns. For campaigns funded by Client, Quarters may provide aggregated reporting such as:

a) number of eligible Quarters Users reached,

b) number of users who transacted at Client during a campaign window,

c) total reward value earned or redeemed in connection with Client spend, and

d) high-level impact indicators, where technically available (for example changes in frequency or spend among selected cohorts).

Quarters does not guarantee any particular uplift or performance outcome.

  1. Referral tools and attribution

5.1 Referral tools. Where included in an Order Form, Quarters will provide Client with one or more of the following:

a) unique referral links or codes,

b) QR codes for in-store or printed use,

c) co-branded landing pages hosted by Quarters, and

d) approved program copy and visual assets for use in Client’s channels.

5.2 User flow. Consumers who follow referral links or QR codes will:

a) be directed to the Quarters onboarding flow,

b) accept Quarters’ consumer Terms of Use and Privacy Policy, and

c) be invited to connect their bank account or other supported data sources.

At that point they are Quarters Users, not Client’s customers for the purpose of the Services, and their relationship with Quarters is governed by Quarters’ consumer-facing legal terms.

5.3 Attribution. Quarters may attribute Quarters Users to Client for analytics and commercial purposes when:

a) the user signs up through a Client-specific referral link, code, or QR, or

b) a user’s onboarding or continued participation is tagged to a Client campaign as described in the Order Form.

Attribution logic and rules (for example look-back windows, tie-breaking rules for overlapping campaigns) are determined by Quarters at the platform level and may evolve over time.

  1. Service environment and availability

 

6.1 Hosting and environment. The Enterprise Services are delivered from infrastructure selected by Quarters which may be located in Canada, the United States, or other jurisdictions, subject to the privacy and security commitments in the Master Terms.

6.2 Access. Client typically accesses the Services via a browser-based interface. Quarters may specify supported browsers and minimum technical requirements from time to time.

6.3 Availability. Quarters uses commercially reasonable efforts to keep the Services available, subject to:

a) planned maintenance windows notified in advance where practicable, and

b) emergency maintenance or outages arising from issues beyond Quarters’ reasonable control, including third party failures and connectivity providers.

Unless expressly stated in an Order Form, no formal uptime guarantee or service credit mechanism is provided.

6.4 Changes to the Services. Quarters may modify, improve, or reorganize features of the Enterprise Services from time to time, including:

a) adding, changing, or retiring dashboard views,

b) adjusting categories, segment definitions, or visualizations, and

c) introducing new modules, pilots, or beta features.

Quarters will not, during the then-current term of an Order Form, intentionally remove the core functional capabilities that are expressly described in that Order Form without providing commercially reasonable alternatives.

  1. Support

7.1 Standard support. Unless otherwise specified in an Order Form, Quarters provides standard support for the Enterprise Services which may include:

a) access to documentation or knowledge base materials,

b) email-based support during normal business hours in Ontario, and

c) reasonable assistance with basic configuration or use of dashboards and referral tools.

7.2 Support requests. Client will direct support requests through the channels designated by Quarters from time to time, such as a specified support email address or ticketing system.

 

7.3 Priority and timing. Quarters prioritizes issues based on severity and impact on the Enterprise Services. Response times are targets only and not guaranteed service levels unless stated otherwise in writing.

  1. Client materials and co-branded content

8.1 Client materials. Client may provide Client Materials such as logos, copy, or campaign parameters for use in referral flows or rewards campaigns. Quarters will use Client Materials solely to deliver the relevant campaigns and Services, in accordance with the Agreement.

8.2 Review and approval. Quarters may review proposed campaign content and may decline or request changes to any campaign or creative that, in Quarters’ reasonable judgment:

a) is misleading, unlawful, or inconsistent with Quarters’ brand or user commitments, or

b) is likely to cause material harm to Quarters Users.

8.3 Co-branded assets. Where Quarters and Client agree to co-branded assets:

a) each party retains ownership of its own marks and branding, and

b) each party will comply with the other’s brand guidelines as provided from time to time.

  1. Data characteristics and limitations

9.1 Data sources. Enterprise Services rely on Quarters Data from:

a) bank and card transaction data retrieved via third party connectivity providers and financial institutions,

b) Quarters Users’ interactions with the Quarters platform, and

c) internal models and merchant-mapping processes.

9.2 Inherent limitations. Client acknowledges that:

a) not all consumer spending is captured in Quarters Data,

b) merchant descriptors and transaction data may be incomplete, delayed, or inconsistent, and

c) Analytics are approximations derived from available data, not definitive financial records.

9.3 No accounting or financial advice. Analytics and dashboards are informational tools. They are not:

a) audited financial statements,

b) a replacement for Client’s own accounting, risk management, or compliance processes, or

c) financial, investment, or legal advice.

Client must not rely solely on Analytics for regulatory reporting or financial statements.

  1. Future features and pilots

10.1 Future capabilities. From time to time Quarters may invite selected clients to participate in pilots or early access to new Enterprise Services such as:

a) additional segmentation views,

b) experimental predictive models or risk scores,

c) new campaign types or personalization layers.

10.2 Pilot terms. Pilots or beta features may be:

a) offered without additional fees for a limited period, or

b) subject to separate terms or addenda.

Such features are experimental, may change or be withdrawn, and may have different reliability profiles than generally available Services.

  1. Relationship to Order Form and Master Terms

11.1 This Enterprise Services Description is intended to:

a) describe the standard components and behavior of the Enterprise Services, and

b) support interpretation of Order Forms that reference it.

11.2 In the event of any inconsistency:

a) the Order Form prevails over this Enterprise Services Description for the Services described in that Order Form, and

b) the Master Terms prevail over this Enterprise Services Description on legal and contractual matters.
